Research Use Agreement

This Research Use Agreement (“Agreement”) is a binding agreement between you (“Purchaser,” “you,” or “your”) and Elutide LLC, a Wyoming limited liability company (“Elutide,” “we,” “us,” or “our”). You must accept this Agreement during account registration and again at each checkout before completing a purchase.

This Agreement exists because we take research-use compliance seriously. It’s not a formality. It defines what you’re agreeing to every time you buy from us.

1. Purpose of This Agreement

All products sold by Elutide are designated “For Research Use Only. Not Intended for Human Consumption.” This Agreement documents your acknowledgment of that designation and your commitment to using our products accordingly.

By accepting this Agreement, you are making legally binding representations about your identity, qualifications, and intended use. These representations are a material condition of every sale.

2. Purchaser Representations

By accepting this Agreement, you represent and warrant that:

You are at least 21 years of age.
You are a qualified researcher, purchasing agent, or authorized representative acting in a research capacity.
All products purchased from Elutide will be used exclusively for in-vitro research and laboratory purposes.
You will not use, administer, recommend, or facilitate the use of any Elutide product for human or animal consumption, injection, ingestion, or any form of therapeutic, diagnostic, or medical application.
You will not resell, redistribute, or transfer any Elutide product with labeling, marketing, or instructions that suggest, imply, or facilitate human or animal consumption.
You have the legal authority to enter into this Agreement and to make the representations contained herein.
All information you provide to Elutide — including your name, contact information, and account details — is accurate, complete, and current.

3. Prohibited Uses

The following uses of Elutide products are strictly prohibited:

Human or animal consumption in any form, including but not limited to injection, ingestion, inhalation, or topical application.
Use as a dietary supplement, food additive, or ingredient in any product intended for consumption.
Therapeutic, diagnostic, or medical use of any kind.
Formulation, compounding, or preparation of any product intended for human or animal use.
Any use that violates applicable federal, state, or local laws or regulations.

4. Compliance with Applicable Laws

You acknowledge that the legal landscape for research peptides varies by jurisdiction and is subject to change. You accept sole responsibility for:

Verifying that your purchase, possession, storage, and use of Elutide products complies with all applicable federal, state, and local laws and regulations in your jurisdiction.
Ensuring compliance with your institution’s policies, applicable Institutional Review Board (IRB) requirements, and any other regulatory frameworks governing your research activities.
Monitoring changes in laws and regulations that may affect the legality of purchasing or possessing specific research compounds in your jurisdiction.

Elutide makes no representation that any product is legal to purchase, possess, or use in every jurisdiction. We ship to all 50 U.S. states, but compliance with local laws is your responsibility, not ours.

5. Handling, Storage, and Safety

You agree to:

Handle all Elutide products in accordance with standard laboratory safety practices.
Store products according to the specifications provided with your order (temperature, light exposure, contamination prevention).
Properly dispose of unused or expired products in compliance with applicable waste disposal regulations.
Maintain appropriate records of product receipt, storage, and use as required by your institution or applicable regulations.

Elutide is not liable for product degradation, contamination, or safety issues resulting from improper handling or storage after delivery.

6. Certificates of Analysis

Every Elutide product ships with a Certificate of Analysis (COA) from an independent, US-accredited, ISO 17025-certified laboratory. COAs reflect the condition of the product at the time of testing and are provided for research reference only.

You acknowledge that:

COA results represent a specific batch at a specific point in time and may not reflect product condition after extended storage or improper handling.
It is your responsibility to conduct any additional testing required for your specific research application.
COA data does not constitute a guarantee of fitness for any particular research purpose.

7. Indemnification

You agree to indemnify, defend, and hold harmless Elutide LLC, its members, managers, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

Your breach of any representation or obligation in this Agreement.
Your use, handling, storage, or disposal of any Elutide product.
Any third-party claim related to your use of Elutide products.
Any violation of applicable law or regulation in connection with your purchase or use of Elutide products.

8. Consequences of Violation

If Elutide determines, at its sole discretion, that you have violated any provision of this Agreement, we may:

Immediately terminate your account and refuse future orders.
Cancel any pending or open orders.
Report the violation to appropriate law enforcement or regulatory authorities.
Pursue any available legal remedies, including damages and injunctive relief.

9. Relationship to Other Agreements

This Agreement supplements and is incorporated into Elutide’s Terms of Service. In the event of a conflict between this Agreement and the Terms of Service regarding the research-use designation or permitted use of products, this Agreement controls.

All other provisions of the Terms of Service — including dispute resolution, binding arbitration, governing law, and limitation of liability — apply to this Agreement.

10. Acceptance and Acknowledgment

By checking the “I agree to the Research Use Agreement” box during account registration, and again at each checkout, you confirm that:

You have read this Agreement in its entirety.
You understand and accept all terms and conditions.
Your representations in Section 2 are true and accurate.
You understand that these representations are a material condition of every purchase.
You acknowledge that Elutide is relying on your representations in agreeing to sell products to you.

Your electronic acceptance carries the same legal weight as a handwritten signature.
