Welcome to elutide.com. These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “your,” or “Customer”) and Elutide LLC, a Wyoming limited liability company (“Elutide,” “we,” “us,” or “our”). By accessing our website, creating an account, or placing an order, you agree to these Terms in full. If you don’t agree, please don’t use our site or purchase our products.

We wrote these Terms to be straightforward. They protect both you and us, and they reflect how we actually operate. If anything is unclear, reach out to us at [email protected].

1. Research Use Only

This is the most important section of these Terms.

All products sold by Elutide are intended exclusively for in-vitro research and laboratory use. They are not intended for human consumption, animal consumption, therapeutic use, diagnostic use, or as dietary supplements. Our products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA).

By purchasing from Elutide, you acknowledge and agree that:

You will use all products solely for legitimate research purposes.
You will not use, administer, or recommend any Elutide product for human or animal consumption.
You will not market, resell, or represent any Elutide product as suitable for human or animal consumption.
You are a qualified researcher, purchasing agent, or representative of a research institution, and you accept full responsibility for the proper handling, storage, and use of all products.
You understand that Elutide makes no claims regarding the safety, efficacy, or suitability of any product for any purpose other than in-vitro research.

Violation of this section is grounds for immediate account termination, order cancellation, and refusal of future service.

2. Eligibility and Account Requirements

To use elutide.com and purchase products, you must:

Be at least 21 years of age.
Provide accurate, complete, and current registration information.
Agree to these Terms of Service and our Research Use Agreement.
Maintain the security of your account credentials.

You are responsible for all activity that occurs under your account. If you suspect unauthorized access, contact us immediately at [email protected].

We verify age through our registration process. Providing false information about your age or identity is a violation of these Terms and may be reported to the appropriate authorities.

3. Orders, Pricing, and Payment

Placing Orders

All orders placed through elutide.com are subject to acceptance by Elutide. We reserve the right to refuse, cancel, or limit any order at our sole discretion, for any reason, including but not limited to:

Suspected misuse or resale for non-research purposes.
Failure to complete age or identity verification.
Unusual order patterns or quantities.
Pricing or product listing errors.
Suspected fraud or unauthorized payment use.

If we cancel your order, we will refund any payment already collected to your original payment method. For Zelle payments (and legacy Venmo orders), refunds are issued by a return payment to the account that paid, or by store credit at your option.

Pricing

All prices are listed in U.S. dollars (USD). We make every effort to ensure pricing accuracy, but errors may occur. If a product is listed at an incorrect price, we reserve the right to cancel the order and issue a full refund. We are not obligated to fulfill orders placed at incorrect prices.

Payment

We accept major credit and debit cards, processed by our third-party payment processor through a secure hosted checkout page (you may be redirected to checkout.elutide.com to complete payment). We also accept direct payment, currently Zelle, as offered at checkout. You represent that you are authorized to use the payment method provided.

Direct-pay pricing: There is no surcharge for paying by card. A discount (currently 5%) may be applied to eligible direct payment methods such as Zelle; any discount is displayed in your order total before you confirm the order.

Direct payment orders: Orders paid by Zelle are held as pending until your payment is received and matched. Unpaid orders are automatically cancelled after 24 hours. Payment instructions are shown at checkout and in your confirmation email.

4. Shipping and Delivery

We ship to all 50 U.S. states. We do not currently offer international shipping. A physical street address is required for all deliveries — we cannot ship to P.O. boxes.

Orders placed before 1:00 PM ET, Monday through Friday, generally ship the same business day. Orders placed after the cutoff, or on weekends and holidays, ship the next business day.

Shipping options:

Ground (3-5 business days): $10 flat rate
2-Day Express (2 business days): $20 flat rate
Next-Day Express (1 business day): $40, or $20 as an upgrade on orders over $150
Free 2-Day Express on orders over $150

Shipping options and rates are shown at checkout and may change; the rates displayed at checkout control.

Risk of loss and title pass to you upon delivery to the carrier. While we pack all orders to protect product integrity during transit, Elutide is not liable for delays, damage, or loss caused by the carrier after the package has been tendered to the carrier.

If your order arrives damaged or incorrect, contact us at [email protected] within 48 hours with photographic documentation. We will replace the product or issue a full refund at no additional cost to you.

5. Returns, Refunds, and Cancellations

Due to the nature of our products and the quality controls required to maintain research-grade integrity:

Unopened products in original condition may be returned within 30 days of delivery for a full refund.
Opened products cannot be returned. Once a seal is broken, we cannot verify the integrity of the product and cannot accept it back.
Damaged or incorrect items must be reported within 48 hours of delivery with photographic documentation.

Do not return any product without first contacting us at [email protected] and receiving a return authorization. Unauthorized returns will not be processed.

Approved refunds are processed to the original payment method within 5-10 business days. Shipping costs are non-refundable unless the return is due to our error.

6. Product Information and Certificates of Analysis

We independently test every batch at a US-based, ISO/IEC 17025-accredited laboratory. Testing includes HPLC purity analysis, mass spectrometry for identity verification, and LAL endotoxin testing. A Certificate of Analysis (COA) ships with every order and is available through your account dashboard.

While we stand behind our testing protocols and quality standards, product descriptions, COA data, and other information on elutide.com are provided for informational and research reference purposes only. They do not constitute medical advice, health claims, or guarantees of fitness for any particular purpose.

Elutide does not guarantee specific research outcomes. The suitability of any product for your specific research application is your responsibility to determine.

7. Prohibited Conduct

You agree not to:

Use any Elutide product for human or animal consumption, therapeutic purposes, or diagnostic purposes.
Resell, distribute, or transfer Elutide products with labeling or marketing that implies human consumption.
Provide false or misleading information during registration, verification, or ordering.
Use automated tools (bots, scrapers, crawlers) to access or collect data from elutide.com without our written permission.
Attempt to circumvent age verification, account restrictions, or security measures.
Use elutide.com for any unlawful purpose or in violation of any applicable federal, state, or local law.
Interfere with or disrupt the operation of elutide.com, our servers, or connected networks.
Impersonate any person or entity, or falsely claim affiliation with any person or entity.

8. Intellectual Property

All content on elutide.com — including but not limited to text, graphics, logos, images, product names, product descriptions, COA data, photography, and software — is the property of Elutide LLC or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from elutide.com without our prior written consent. This includes scraping, data mining, or systematic downloading of COA data, product information, or pricing.

Limited personal use for research reference is permitted, provided that all copyright and proprietary notices are retained.

9. Disclaimer of Warranties

ELUTIDE.COM AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ELUTIDE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Elutide does not warrant that:

The website will be uninterrupted, error-free, or secure.
Any product will achieve specific research results.
Product descriptions or other content are completely free of errors.
Products are suitable for any purpose other than in-vitro research use.

Your purchase and use of any Elutide product is at your sole risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELUTIDE LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF ELUTIDE.COM OR ANY ELUTIDE PRODUCT.

ELUTIDE’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS, THE WEBSITE, OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID TO ELUTIDE FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Elutide has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Elutide LLC, its members, managers, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of any Elutide product, including any use inconsistent with the “For Research Use Only” designation.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Any claim by a third party related to your use, handling, storage, or disposal of any Elutide product.
Any misrepresentation you make regarding your eligibility, identity, or intended use.

12. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Informal Resolution First

Before initiating any formal dispute proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly this way.

Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, your use of elutide.com, or any Elutide product shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

Arbitration details:

Arbitration will take place in the county of your billing address, by telephone or video conference, by written submission, or at another mutually agreed location.
The arbitrator’s decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
Filing, administration, and arbitrator fees are allocated per the AAA Consumer Arbitration Rules; we will pay the fees those Rules assign to us. Each party otherwise bears its own attorneys’ fees unless the arbitrator determines otherwise or applicable law provides differently.
Opt-out: You may opt out of this arbitration agreement by emailing [email protected] with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out does not affect any other provision.

Class Action Waiver

YOU AND ELUTIDE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Exceptions

Either party may bring an individual action in small claims court for disputes within that court’s jurisdictional limits. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.

13. Regulatory Compliance

The research peptide industry operates within a complex regulatory framework. By using elutide.com, you acknowledge that:

You are solely responsible for ensuring that your purchase, possession, and use of Elutide products complies with all applicable federal, state, and local laws and regulations in your jurisdiction.
Elutide makes no representation that any product is legal to purchase, possess, or use in every jurisdiction. Laws vary by state and may change without notice.
It is your responsibility to verify that your intended use complies with your institution’s policies, applicable IRB requirements, and all relevant regulations.
Elutide cooperates with law enforcement and regulatory agencies and may disclose customer information when required by law, subpoena, or court order.

14. Privacy

Your privacy matters to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using elutide.com, you consent to the data practices described in the Privacy Policy.

15. Text Message (SMS/MMS) Communications

Agreement to Receive Text Messages

Transactional texts (order and shipping updates, support replies) are sent to the mobile number on your order. Marketing texts are sent only if you separately opt in — by checking an unchecked consent box at checkout or on our signup form. Consent to marketing texts is not a condition of any purchase. The program terms below apply to all texts:

Message frequency varies; up to 4 marketing messages per month.
You may unsubscribe at any time by texting the word STOP to 586-300-5006. You may receive a subsequent message confirming your opt-out request.

You agree to notify us of any changes to your mobile number and update your account with us to reflect this change.
Data obtained from you in connection with this SMS service may include your cell phone number, your carrier’s name, and the date, time and content of your messages, as well as other information that you provide. We may use this information to contact you and to provide the services you request from us.
By subscribing or otherwise using the service, you acknowledge and agree that we will have the right to change and/or terminate the service at any time, with or without cause and/or advance notice.

Will I be charged for the text messages I receive?

Though Elutide LLC will never charge you for the text messages you receive, depending on your phone plan, you may see some charges from your mobile provider. Please reach out to your wireless provider if you have questions about your text or data plan.

Sharing

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes, other than with messaging service providers acting on our behalf to deliver the texts. Text messaging originator opt-in data and consent are never shared with any third party.

16. Promotions, Coupons, and Rewards

We regularly run promotions — automatic discounts (for example, buy-one-get-one offers or multi-vial pricing), coupon codes, our Purity Ladder tiers, Research Rewards store credit, the referral program, and ambassador codes. All promotions are subject to the specific terms posted with them, may not stack unless we say they do, may be limited to one code per order, apply only while the promotion is active, and may be modified or ended by us at any time — but changes will not retroactively remove store credit or rewards you have already earned (earned credits remain subject to their posted expiration). Promotional pricing errors are handled under Section 3. Research Rewards and referral credits have no cash value.

17. Modifications to These Terms

We may update these Terms from time to time. When we do, we’ll update the “Last Updated” date at the top and, for material changes, notify registered users with an active account by email, where practicable before the change takes effect. Your continued use of elutide.com after any modification constitutes acceptance of the updated Terms.

We recommend checking this page periodically. If you disagree with any changes, your remedy is to stop using elutide.com and close your account.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, Research Use Agreement, Disclaimers, Refund and Returns Policy, Shipping Policy, Referral Program Terms, and SafeArrival Terms, constitute the entire agreement between you and Elutide LLC regarding your use of elutide.com and supersede all prior agreements and understandings.
